1. Acceptance of Terms

By accessing or using FinClash ("the Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

2. Description of Service

FinClash is a virtual stock trading simulator that allows users to practice trading with simulated funds ($100,000 virtual capital). The Platform includes:

• Real-time stock market data and prices
• AI-powered trading analysis (UltraThink AI)
• Virtual portfolio management
• Trading competitions with optional real money prizes
• Live chat functionality
• Daily performance insights and reports

IMPORTANT: All trades on FinClash are simulated and use virtual funds. No real money is invested in actual stocks through this platform.

3. User Accounts

3.1 Account Creation

To use FinClash, you must:

• Provide a valid email address
• Create a unique username
• Choose a secure password
• Be at least 13 years of age

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Platform in a manner harmful to other users.

4. Subscription Plans

4.1 Personal Plan (FREE)

• No fees or charges
• Full access to trading simulator
• No competitions or real money prizes

4.2 Public Plan (1% Trading Fee)

• 1% fee per trade (deducted from virtual capital)
• Access to public competitions
• Eligible for real money prizes (winner takes all)
• Live leaderboards

4.3 Private Plan ($0.05 Fixed Fee)

• $0.05 flat fee per trade
• Private competitions with family/friends
• Eligible for real money prizes (winner takes all)
• More cost-effective for high-frequency traders

5. Competitions and Prizes

5.1 Competition Rules

• Competitions have defined start and end dates
• The user with the highest portfolio value at the end wins
• All participants start with equal virtual capital ($100,000)
• Trading fees apply according to your plan

5.2 Prize Distribution

• Winner takes all collected entry fees
• Prizes are distributed after competition ends
• Payment processed via Stripe within 7 business days
• Taxes are the responsibility of the winner

5.3 Fair Play

Users must not:

• Create multiple accounts to gain unfair advantage
• Collude with other participants
• Use automated bots or scripts
• Manipulate or exploit platform bugs

Violation of fair play rules results in immediate disqualification and potential account termination.

6. Educational Purpose and Financial Disclaimer

• This platform is for educational and entertainment purposes only
• No real stocks are purchased or sold
• All information provided is for educational purposes
• Past simulated performance does not guarantee future real-world results
• AI analysis is NOT financial advice
• Consult a licensed financial advisor before making real investments

7. Payments and Refunds

7.1 Payment Processing

All payments for competition entry and premium plans are processed securely through Stripe. We do not store your payment information.

7.2 Refund Policy

• Competition entry fees are non-refundable once the competition starts
• Refunds may be granted before competition start date
• Plan subscriptions are non-refundable
• Exceptions may be made at our sole discretion

8. Data and Market Information

8.1 Market Data

Real-time stock prices and market data are provided by Finnhub API. We strive for accuracy but cannot guarantee data is always up-to-date or error-free.

8.2 UltraThink AI Analysis

Our AI provides educational insights based on technical indicators (RSI, moving averages) and sentiment analysis. This is NOT financial advice. Use at your own discretion.

9. User Conduct

You agree NOT to:

• Use offensive, abusive, or inappropriate language in chat
• Harass, threaten, or impersonate other users
• Share misleading or false information
• Attempt to hack, reverse engineer, or disrupt the Platform
• Share your account credentials with others
• Use the Platform for any illegal purpose

10. Intellectual Property

All content, features, and functionality of FinClash (including but not limited to design, logos, text, graphics, AI algorithms, and code) are owned by FinClash, Reid Coleman, and Cameron Dietzel.

You may not:

• Copy, modify, or distribute our content
• Use our trademarks without permission
• Create derivative works
• Reverse engineer the Platform

11. Limitation of Liability

We are not liable for:

• Loss of virtual or real funds in competitions
• Inaccurate market data or AI analysis
• Platform downtime or technical issues
• Actions of other users
• Tax obligations from prize winnings

12. Warranty Disclaimer

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Indemnification

You agree to indemnify and hold harmless FinClash, Reid Coleman, Cameron Dietzel, and their affiliates from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

14. Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice. We may also update these Terms periodically. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved in the courts of the jurisdiction where FinClash operates.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
